Welcome to the Citrus website, owned and operated by Citrus Digital LLC (“Citrus,” “we,” “us” or “our”). These Terms of Service (“Terms of Service”) govern your use of the website located at Citrus.app (the “Site”) and all related tools, mobile applications, web applications, decentralized applications, smart contracts, and APIs located at any of Citrus websites, including without limitation, successor website(s) or application(s) thereto (the “Platform”). The Site and Platform are collectively referred to herein as the “Services.” The terms “you,” “your” or “user” refers to you, the user. If you are using the Services on behalf of a business, association, or other entity, “you” or “your” will also refer to such business, association, or other entity, unless the context clearly dictates otherwise. You agree that you are authorized to consent to these terms on behalf of such business, association, or other entity, and we can rely on this.

Citrus is a web-based, smart contract enabled, open-source, non-custodial platform for artists (“Creators”) and collectors (“Collectors”) to display their unique blockchain assets, non-fungible tokens, and other similar original content (collectively, “Citrus Items”) and for viewing of assets by art enthusiasts. The Services caches the image files associated with the Citrus Item and displays these images for the Citrus Items owner to use on the platform. Citrus does not own the Citrus Item or the image associate with the token.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST CITRUS ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW***.***

These Terms Set Forth a Legally Binding Agreement

Please read these Terms of Service very carefully before accessing or using our Services. By using/ continuing to use our Services, you acknowledge you have read and understand and agree to be bound by the Terms of Service, including those additional terms and conditions and policies referenced herein and/or available by hyperlink. Please print a copy of this agreement for your records. If you do not agree to all the terms and conditions of these Terms of Service, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Eligibility to Use the Services

To use the Services you must be, and represent and warrant that you are, at least the age of majority in your state, province or jurisdiction of residence, or if you are under the age of majority in your state, province or jurisdiction of residence, you represent and warrant that your parent or legal guardian has reviewed these Terms of Service with you and accepts them on your behalf; parents or legal guardians are responsible for the activities of their minor dependents while using the Services. You warrant and represent that you have all necessary rights, power, and authority to agree to these Terms of Service and perform your obligations hereunder, and nothing contained in these Terms of Service or in the performance of such obligations will place you in breach of any other contract or obligation.

The Services

Smart-Contract Enabled

The Citrus Items on the Services are represented on smart contracts on the Ethereum blockchain that provides an immutable ledger of all transactions that occur on the Services (“Smart Contracts”). This means that all Citrus Items are outside of the control of any one party, including Citrus, and is subject to many risks and uncertainties. We neither own nor control your browser or any other third-party site, product, or service that you might access, visit, or use for the purpose of enabling you to use the various features of the Services, including MetaMask, Coinbase or the Ethereum network. We will not be liable for the acts or omissions of any such third-parties, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interaction with any such third-parties. You understand that your Ethereum public address will be made publicly visible via metadata that is available on the platform.

Accessing the Services through Web3 Wallets

To most easily access and use the Services, you should first install the Google Chrome or Brave web browser. Once you have installed Google Chrome or Brave, you will need to install a browser extension called “MetaMask.” MetaMask is an electronic wallet, which allows you to purchase (either directly via Coinbase, if you are in the United States, or via other third-party sites), store and engage in transactions using the native Ethereum cryptocurrency (“ETH”). You will not be able to engage in any transactions on the Services without an Ethereum-compatible browser extension, such as MetaMask. The Services will only recognize you as a user, and be able to interact with the Services, if your Ethereum electronic wallet is connected and unlocked through your browser extension (e.g., MetaMask account). There is no other way to sign up as a user or to interact directly with the Services.

ALL TRANSACTIONS INITIATED THROUGH OUR SERVICES ARE FACILITATED AND RUN BY THIRD-PARTY ELECTRONIC WALLET EXTENSIONS, AND BY USING OUR SERVICES YOU AGREE THAT YOU ARE GOVERNED BY THE TERMS OF SERVICE AND PRIVACY POLICY FOR THE APPLICABLE EXTENSIONS.

Ownership

Unless otherwise indicated in writing by us, the Services and all graphics, design, systems, methods, information, computer code, software, services, “look and feel,” organization, compilation of the content, code, data and all other elements of the Services, including derivative works thereof (collectively, the “Citrus Materials”) are owned by Citrus or our affiliates or licensors (as applicable) and are protected by intellectual property rights, including, but not limited to, copyright, trade dress, patent, and trademark laws, international conventions and other similar relevant intellectual property and proprietary rights, regardless of jurisdiction. Notwithstanding anything to the contrary in these Terms of Service, the Services and Citrus Materials may include software components provided by Citrus, or its affiliates or a third-party that are subject to separate license terms, in which case those license terms will govern such software components. The Citrus logo and any Citrus product or service names, logos, slogans, trademarks, service marks and trade names, or other similar intellectual property are property of Citrus and may not be copied, imitated, or used, in whole or in part, without the permission of Citrus. All other logos, service names, trademarks, product names or trade dress on the Services are property of their respective owners and may not be copied, imitated, or used, in whole or in part, without the permission of the applicable trademark holder. Except as expressly set forth herein, your use of the Services does not grant you any ownership interest in any Citrus Materials or any other intellectual property Citrus provides you, discloses to you or allows you to use in any way in connection with the Services. We or our affiliates or licensors, as applicable, reserve all rights in and to the Citrus Materials not expressly granted to you in these Terms of Service.

Citrus May Use and Share All Feedback
